Terms of Service for Finndemy E-Learning Platform

  1. ACCEPTANCE OF TERMS

By accessing or using the Finndemy e-learning platform (“Platform”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Agreement” or “Terms”). This Agreement constitutes a legally binding contract between you and Finndemy (“Company,” “we,” “us,” or “our”).

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM.

This Agreement applies to all users of the Platform, including but not limited to:

  • Individual learners (“Learners”)
  • Corporate clients and their employees (“Corporate Users”)
  • Content creators and instructors (“Trainers”)
  • Administrators and supervisors (“Admins”)
  1. PLATFORM DESCRIPTION

Finndemy is a comprehensive e-learning platform built on LearnDash LMS and WordPress technology, providing:

  • Online courses and training materials
  • Learning management system capabilities
  • Corporate training solutions
  • Progress tracking and certification services
  • Content creation and distribution tools
  • Analytics and reporting features
  1. USER CATEGORIES AND SPECIFIC TERMS

3.1 Individual Learners

Registration and Account: Individual learners must provide accurate personal information during registration and maintain updated account details.

Course Access: Access to courses is subject to enrollment requirements, payment of applicable fees, and compliance with course prerequisites.

Personal Use: Course content is licensed for personal, non-commercial use unless otherwise specified.

3.2 Corporate Users

Corporate Account: Corporate clients receive administrative access to manage employee learning programs and organizational training initiatives.

Employee Management: Corporate clients are responsible for managing employee access, ensuring accurate employee information, and maintaining appropriate user permissions.

Bulk Licensing: Corporate subscriptions include bulk user licensing as specified in the corporate agreement or purchase order.

Data Responsibility: Corporate clients are responsible for ensuring their employees’ consent to data processing and compliance with applicable privacy laws.

3.3 Trainers and Content Creators

Content Standards: All training materials must meet professional standards, be educationally sound, and comply with applicable laws and regulations.

Intellectual Property: Trainers retain ownership of original content but grant Finndemy necessary licenses to distribute and display content on the Platform.

Revenue Sharing: Compensation terms for trainers are specified in separate trainer agreements or partnership contracts.

Content Moderation: Finndemy reserves the right to review, modify, or remove content that violates these Terms or platform standards.

  1. USER REGISTRATION AND ACCOUNTS

4.1 Account Creation

  • Users must be at least 16 years of age to create an account
  • All registration information must be accurate, current, and complete
  • Users are responsible for maintaining the confidentiality of account credentials
  • One person may not maintain multiple accounts without prior written consent

4.2 Account Security

  • Users must immediately notify Finndemy of any unauthorized use of their account
  • Users are responsible for all activities that occur under their account
  • Strong passwords and security measures are required and recommended
  • Two-factor authentication may be required for certain account types

4.3 Account Termination

  • Users may terminate their accounts at any time through account settings
  • Finndemy may suspend or terminate accounts for violations of these Terms
  • Upon termination, access to paid content may be revoked subject to applicable refund policies

All user-generated content must:

  • Be free from hate speech, discrimination, or offensive material
  • Not contain personal information of others without consent
  1. INTELLECTUAL PROPERTY RIGHTS

6.1 Platform Ownership

Finndemy owns all rights, title, and interest in the Platform, including:

  • Software, technology, and infrastructure
  • Platform design, layout, and user interface
  • Trademarks, logos, and branding materials
  • Proprietary algorithms and methodologies

6.2 Course Content

Licensed Content: Course content created by Finndemy or licensed third parties remains the property of the respective owners. Users receive limited, non-exclusive licenses to access and use such content.

User-Generated Content: Users retain ownership of original content they create but grant Finndemy a worldwide, royalty-free license to use, display, and distribute such content on the Platform.

Third-Party Content: Users are responsible for ensuring they have appropriate rights to any third-party content they upload or share.

6.3 Copyright Protection

Finndemy respects intellectual property rights and expects users to do the same. We will respond to valid copyright infringement notices in accordance with the Digital Millennium Copyright Act (DMCA).

  1. PRIVACY AND DATA PROTECTION

7.1 Data Collection

Finndemy collects and processes personal information as described in our Privacy Policy, which is incorporated into these Terms by reference.

7.2 Corporate Data

Corporate clients are responsible for:

  • Obtaining necessary consents from employees for data processing
  • Ensuring compliance with applicable data protection laws (GDPR, CCPA, etc.)
  • Maintaining appropriate data security measures
  • Notifying Finndemy of any data protection requirements or restrictions

7.3 Learning Analytics

The Platform collects learning analytics data to improve educational outcomes and platform functionality. Users consent to such data collection and analysis for legitimate educational purposes.

8.1 Fees and Subscriptions

  • Course fees and subscription charges are as displayed on the Platform
  • All fees are non-refundable

RECITALS

WHEREAS, Finnet Trust operates Finndemy, a comprehensive learning management platform that provides training services in governance consulting, pension advisory, employee benefits, insurance risk intermediation, and professional development;

WHEREAS, the Trainer possesses specialized knowledge, skills, and expertise in specific subject areas relevant to Finndemy’s training programs;

WHEREAS, Finnet Trust desires to engage the Trainer to provide training services through the Finndemy platform;

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

 

  1. SCOPE OF SERVICES

1.1 Training Services

The Trainer agrees to provide the following services:

  1. a) Development and delivery of training content in agreed subject areas
    b) Conducting live training sessions, workshops, and webinars
    c) Creating course materials, assessments, and learning resources
     d) Providing participant support and responding to learner queries
     e) Maintaining course content currency and relevance
     f) Participating in Finndemy platform orientation and training

1.2 Quality Standards

All training services shall meet Finndemy’s quality standards and comply with:

  • Kenya’s professional training requirements
  • Industry best practices and standards
  • Finndemy’s learning objectives and outcomes
  • Technical and pedagogical guidelines provided by Finnet Trust

1.3 Deliverables Timeline

Specific deliverables, timelines, and milestones shall be outlined in separate Training Schedules attached as appendices to this Agreement.

 

  1. COMPENSATION AND PAYMENT TERMS

2.1 Payment Structure

Compensation shall be determined based on:

  • Course development fees (one-time payment per course)
  • Training delivery fees (per session/participant basis)
  • Revenue sharing model for online course enrollments (if applicable)

2.2 Payment Schedule

  • Course development fees: 50% upon content approval, 50% upon final delivery
  • Training session fees: Within 30 days of service completion
  • Revenue sharing: Monthly payments by the 15th of the following month

2.3 Tax Obligations

The Trainer acknowledges responsibility for:

  • All applicable taxes under Kenyan tax laws
  • Provision of valid tax invoices for services rendered
  • Compliance with Kenya Revenue Authority (KRA) requirements
  • Withholding tax deductions as per Kenyan tax regulations

 

  1. INTELLECTUAL PROPERTY RIGHTS

3.1 Ownership of Training Materials

  • Training content developed specifically for Finndemy shall be jointly owned
  • Finnet Trust retains rights to use, modify, and distribute materials on the Finndemy platform
  • Trainer retains rights to use general knowledge and methodologies for other purposes

3.2 Pre-existing Materials

The Trainer warrants that any pre-existing materials incorporated into training content:

  • Are owned by the Trainer or properly licensed
  • Do not infringe on third-party intellectual property rights
  • Are disclosed to Finnet Trust prior to incorporation

3.3 License Grant

The Trainer grants Finnet Trust a non-exclusive, royalty-free license to use training materials for Finndemy platform operations, marketing, and related business purposes.

 

  1. CONFIDENTIALITY AND NON-DISCLOSURE

4.1 Confidential Information

Both parties acknowledge access to confidential information including:

  • Business strategies and methodologies
  • Client information and participant data
  • Technical specifications and platform details
  • Financial information and pricing structures

4.2 Non-Disclosure Obligations

Both parties agree to:

  • Maintain strict confidentiality of all confidential information
  • Use confidential information solely for agreement purposes
  • Implement reasonable security measures to protect confidential information
  • Return or destroy confidential information upon agreement termination

4.3 Duration

Confidentiality obligations shall survive agreement termination for a period of five (5) years.

5.1 Nature of Relationship

The Trainer is engaged as an independent contractor and not as an employee of Finnet Trust. This relationship is characterized by:

  • Freedom to control methods and means of service delivery

  • No entitlement to employee benefits
  • Independent tax and statutory obligations

5.2 Professional Standards

The Trainer agrees to:

  • Maintain professional competence and ethical standards
  • Comply with relevant professional body requirements
  • Obtain and maintain necessary certifications and licenses
  • Adhere to Finndemy’s code of conduct

 

  1. PERFORMANCE STANDARDS AND EVALUATION

6.1 Performance Metrics

Performance shall be evaluated based on:

  • Training effectiveness and participant feedback
  • Content quality and engagement levels
  • Timely delivery of agreed services
  • Professional conduct and platform compliance

6.2 Continuous Improvement

Both parties commit to:

  • Regular performance reviews and feedback sessions
  • Collaborative improvement of training programs
  • Professional development and skills enhancement
  • Platform optimization and user experience improvement

 

  1. TERMINATION

7.1 Termination for Convenience

Either party may terminate this agreement with thirty (30) days written notice.

7.2 Termination for Cause

Immediate termination may occur for:

  • Material breach of agreement terms
  • Violation of confidentiality obligations
  • Professional misconduct or ethical violations
  • Failure to meet performance standards after written notice

7.3 Effect of Termination

Upon termination:

  • Final payments shall be processed within 30 days
  • Confidential information must be returned or destroyed
  • Ongoing training commitments shall be honored
  • Post-termination obligations shall remain in effect

 

  1. COMPLIANCE WITH KENYAN LAWS

8.1 Legal Compliance

This agreement shall comply with:

  • The Employment Act, 2007 (Laws of Kenya)
  • The Income Tax Act (Cap 470)
  • The Data Protection Act, 2019
  • The Competition Act, 2010
  • The Consumer Protection Act, 2012

8.2 Data Protection

Both parties commit to compliance with Kenya’s Data Protection Act, 2019, including:

  • Lawful processing of personal data
  • Implementation of appropriate security measures
  • Respect for data subject rights
  • Notification of data breaches where required

8.3 Professional Standards

Training services shall comply with:

  • Kenya Association of Training Officers (KATO) guidelines
  • Technical and Vocational Education and Training Authority (TVETA) standards
  • Other relevant professional body requirements

 

  1. DISPUTE RESOLUTION

9.1 Negotiation

Parties shall first attempt to resolve disputes through good faith negotiation.

9.2 Mediation

Unresolved disputes shall be submitted to mediation through the Nairobi Centre for International Arbitration (NCIA).

9.3 Arbitration

If mediation fails, disputes shall be resolved through binding arbitration under the Arbitration Act, 2013 (Laws of Kenya).

9.4 Governing Law

This agreement shall be governed by and construed in accordance with the Laws of Kenya.

10.1 Entire Agreement

This agreement constitutes the entire agreement between parties and supersedes all prior negotiations, representations, or agreements.

10.2 Amendment

Amendments must be in writing and signed by both parties.

10.3 Severability

If any provision is deemed invalid or unenforceable, the remainder of the agreement shall remain in full force and effect.

10.4 Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including acts of God, government actions, or pandemic-related restrictions.

10.5 Notices

All notices shall be in writing and delivered to the addresses specified above or such other addresses as may be designated in writing.

  1. USER CATEGORIES AND SPECIFIC TERMS

3.1 Individual Learners

Registration and Account: Individual learners must provide accurate personal information during registration and maintain updated account details.

Course Access: Access to courses is subject to enrollment requirements, payment of applicable fees, and compliance with course prerequisites.

Personal Use: Course content is licensed for personal, non-commercial use unless otherwise specified.

3.2 Corporate Users

Corporate Account: Corporate clients receive administrative access to manage employee learning programs and organizational training initiatives.

Employee Management: Corporate clients are responsible for managing employee access, ensuring accurate employee information, and maintaining appropriate user permissions.

Content Standards: All training materials must meet professional standards, be educationally sound, and comply with applicable laws and regulations.

Intellectual Property: Trainers retain ownership of original content but grant Finndemy necessary licenses to distribute and display content on the Platform.

Revenue Sharing: Compensation terms for trainers are specified in separate trainer agreements or partnership contracts.

Content Moderation: Finndemy reserves the right to review, modify, or remove content that violates these Terms or platform standards.

  1. USER REGISTRATION AND ACCOUNTS

4.1 Account Creation

  • Users must be at least 16 years of age to create an account
